VIRGINIA COMMONWEALTH UNIVERSITY CHAPTER

AMERICAN ASSOCIATION OF UNIVERSITY PROFESSORS

Article 1. Purposes

A. The Virginia Commonwealth University Chapter of the American Association of University Professors shall support the purposes of the Association as stated in Article I of the Association's Constitution:

... To facilitate a more effective cooperation among teachers and research scholars in universities and colleges, and in professional schools of similar grade, for the promotion of the interests of higher education and research, and in general to increase the usefulness and advance the standards, ideals, and welfare of the Profession.

B. The Chapter shall be concerned with those problems and issues involved in the development of Virginia Commonwealth University and the professional interests and morale of its faculty.

Article 2. Membership

Membership in the Chapter shall be open to all members of the faculty at Virginia Commonwealth University. The categories of membership shall be as defined in the Constitution of the Association. Only active members shall be eligible to vote or to hold Chapter office, but all members shall be eligible to serve on committees in any capacity.

Only active members shall be assessed chapter dues. These dues may be set at any meeting of the chapter. Any member whose dues are in arrears for the current year shall be ineligible to vote.

Article 3. Officers

A. Officers. The officers shall be a President, a Vice-President, a Secretary, a Treasurer, and Recruitment Director.

B. President. The President shall ordinarily serve in office one year beginning at the conclusion of the April meeting; but should succession to office occur between the April meetings, the President shall serve the remaining portion of that term as well as a one-year term beginning at the next April meeting. The President may not serve more than three consecutive terms.

C. Vice-President. The Vice-President shall serve a one-year term to begin at the conclusion of the April meeting at which elected. The Vice-President may not serve more than three consecutive terms. Should the office of President become vacant between April meetings, the Vice-President shall immediately succeed to the office of President and serve the remainder of the term. Should the office of Vice-President become vacant between April meetings, the Executive Committee shall decide whether or not a special election shall be held to fill the remaining portion of the term.

D. Secretary and Treasurer. The Secretary shall be elected at the April meeting in odd-numbered years and the Treasurer in even-numbered years. Each shall serve a two-year term to begin at the conclusion of the meetings at which elected. Should either office fall vacant during a term, the Executive Committee shall either appoint another person to serve the remaining portion of the term or shall call a special election to fill it. Neither the Secretary nor the Treasurer may serve more than two consecutive terms.

E. Executive Committee. The Executive Committee shall consist at least of the President, the Vice-President, the Secretary, the Treasurer, the Recruitment Director, the immediate Past-President, and two members elected at large, one from the Academic Division and one from the Health Sciences Division. The two members-at-large shall each serve a two-year term beginning at the conclusion of the April meeting at which elected. Members-at-large may not serve more than two consecutive terms. Should a vacancy occur among members-at-large, the Executive Committee shall decide whether or not a special election shall be held to fill the remaining portion of the term.

Article 5. Meetings

A. Regular Meetings. The Chapter shall hold meetings at least once in the fall semester and in April. Elections shall be conducted at the April meeting. The Executive Committee shall establish a schedule of meetings for the year.

B. Called Meetings. The President may at any time call special meetings of the Chapter or of the Executive Committee. Executive Committee meetings shall be open to the membership.

C. Rules of Order. Except as provided in these By-Laws or in the Rules adopted pursuant to it, the meetings of the Chapter shall be governed by Robert's Rules of Order Revised.

D. Parliamentarian. The President shall appoint a Parliamentarian to serve at the meetings.

Article 6. Committees

The Executive Committee shall appoint committees and their chairs as needed. An ad hoc committee shall audit the accounts of the Chapter before a Treasurer assumes responsibility for them.


Article 7. Amendment

These By-Laws may be amended by a majority vote of the Members present at any meeting of the Chapter, provided that the proposed amendment

a. is specifically announced in the call for the meeting, and

b. has been submitted in writing at the previous meeting of the Chapter.

RULES

VIRGINIA COMMONWEALTH UNIVERSITY CHAPTER of the AMERICAN ASSOCIATION OF UNIVERSITY PROFESSORS


Article I. Duties of the Officers

A. President. It shall be the duty of the President to preside at the meetings of the Chapter and of the Executive Committee. The President shall serve as an ex-officio member of all committees except the Nominating Committee. Only the President can speak for the Chapter without special authorization of the Executive Committee. In unusual circumstances, the President may delegate this duty.

B. Vice-President. It shall be the duty of the Vice-President to preside at meetings in the absence of the President and to oversee the recruitment of new members each fall. The Vice-President shall also discharge any other duties designated by the President or the Executive Committee.

C. Secretary. It shall be the duty of the Secretary to notify members and keep minutes of the meetings of the Chapter and of the Executive Committee: to maintain a roll of active members of the Chapter; to conduct correspondence of the Chapter; and to send subscriptions of the Bulletin to the Cabell Library, the Tompkins-McCaw Library, members of the Board of Visitors and others deemed appropriate by the Executive Committee; to keep the official copy of the By-Laws and the Rules of the Chapter.

D. Treasurer. It shall be the duty of the Treasurer to be custodian of all funds of the Chapter. The Treasurer shall present to the Chapter an annual accounting of all money received and dispensed.

E. Executive Committee. It shall be the duty of the Executive Committee to conduct the interim business of the Chapter and to assist the President.


Article II: Chapter Dues

A. Chapter Dues. The Chapter dues shall be $4.00 per year, from June 1 through May 30, payable at the beginning of the period.

B. New Members. An active member who joins the Association between January 1st and May 30th will not be charged Chapter dues for the year in which he or she joins.

Article III. Election

A. Nominations. The President shall appoint a Nominating Committee at least thirty days before the April Meeting. The Nominating Committee shall select from among the active members of the Chapter a slate of nominees for offices to be filled at the April Meeting. Additional nominations shall be solicited from the floor. Only members who have agreed to serve may be nominated. The Nominating Committee will try to ensure that at least one of the nominees has not served on the Executive in recent years.

B. Election. Election shall be by majority vote of the active members present and voting.

Article IV. Amendment of Rules

These rules may be amended by a majority vote of the members present and voting at any meeting of the Chapter.
